Schneider Electric Agrees to Buy PTC for $22.6 Billion

Schneider Electric has agreed to acquire industrial software company PTC in an all-cash deal with an equity value of about $22.6 billion, the companies said Monday. The agreement would expand Schneider’s industrial software business and remains subject to customary closing conditions and regulatory approvals. Schneider will pay $205 for each PTC share, a 42.3% premium to PTC’s closing price before the announcement, according to the companies. Including PTC’s debt and other liabilities, the transaction has an implied enterprise value of about $23.7 billion. The companies expect the acquisition to close by the third quarter of 2027, subject to the required conditions and approvals. Until the transaction is completed, Schneider has not acquired PTC. The companies’ announcement did not establish that the deal has received final regulatory authorization. PTC develops software used by manufacturers in product design, engineering and product lifecycle management. Schneider said the combination is intended to link product design, industrial operations, energy data and industrial artificial intelligence across the lifecycle of products and assets.
