Paramount Seeks Bond Over Warner Bros Deal Delay Costs

Paramount Skydance is urging state attorneys general and the Writers Guild of America to cover potential financial losses stemming from lawsuits that are delaying its acquisition of Warner Bros. Discovery. In new legal briefs, Paramount argues that these plaintiffs should post a bond of up to $1.88 billion to compensate for damages if their legal challenges ultimately fail. Paramount states that all other conditions for the $111 billion merger have been met, with only two lawsuits remaining as barriers to completion. The company contends that these legal actions are causing significant financing and delay costs. If the merger is blocked and the challenges are later deemed unsuccessful, Paramount estimates its potential financial harm could reach $1.88 billion, encompassing ticking fees and increased financing expenses. The studio has agreed to pause the closing of the deal to allow the court to resolve the cases, but it maintains this agreement does not waive its right to financial protection against losses incurred during the delay. Paramount is seeking court enforcement of bond requirements under antitrust laws and federal procedures governing injunctions.
