Paramount, California in Talks to Settle Antitrust Suit

Paramount Skydance and California Attorney General Rob Bonta are engaged in settlement talks to resolve the antitrust lawsuit that has blocked Paramount's $111 billion takeover of Warner Bros. Discovery. The discussions, described as advanced and constructive by people familiar with the matter, aim to end the legal challenge brought by Bonta and 11 other state attorneys general. Paramount CEO David Ellison is highly motivated to reach an agreement before October 1, when his company would face increased financial obligations. Under the merger terms, Paramount must pay an additional $7 million per day to Warner Bros. Discovery shareholders if the deal is not completed by that date, on top of the $81 billion already agreed. Ellison has been applying political pressure on Bonta, including threatening to relocate Paramount out of California, a move that has concerned state and local officials worried about job losses. The proposed merger would combine major entertainment brands such as HBO, CBS, CNN, and the Warner Bros. and Paramount studios, potentially eliminating at least 4,500 jobs according to a report from Los Angeles County's Department of Economic Opportunity.
