IonQ to Acquire Elisity in Deal Valued at Up to $1.3 Billion

Published 12 October 2026

IonQ has agreed to acquire cybersecurity company Elisity in an all-stock deal valued at up to $1.3 billion, adding enterprise network security to the quantum computing company’s business. The agreement includes as much as $150 million in performance-based earnouts tied to Elisity’s future results. IonQ said it expects the acquisition to close in the fourth quarter of 2026, subject to regulatory approval. Elisity chief executive James Winebrenner is expected to continue leading the business after the transaction closes. Elisity, founded in 2019, makes software designed to prevent attackers and ransomware from moving across an organization’s network. Its customers include hospitals and other healthcare companies. IonQ says Elisity serves more than 100 customers and that its sales and customer base doubled over a year, with no customers leaving during that period. The companies have not disclosed Elisity’s revenue in the reported deal information. The transaction’s final stock consideration will depend in part on IonQ’s share price, and the performance-based earnouts make up part of the maximum value. The agreement sets a reference price range of $33.07 to $49.
