Copart to Acquire ACV Auctions for $1.9 Billion in Cash Deal

Copart has agreed to acquire ACV Auctions in an all-cash deal valued at approximately $1.9 billion, marking a major consolidation in the vehicle remarketing industry. The definitive agreement, announced on September 10, 2026, will see Copart pay $10.50 per share for ACV Auctions, representing a premium of about 45% over ACV's unaffected closing price on August 10, 2026. The announcement sent ACV Auctions' stock soaring, with shares jumping over 44% to trade near the offer price. The transaction is expected to close by the end of calendar year 2026, subject to a successful tender offer for a majority of ACV's outstanding shares, regulatory clearance, and other customary conditions. Copart CEO Jay Adair stated the acquisition would create an industry-leading remarketing platform. "ACV has built a differentiated, technology-driven marketplace that perfectly complements our extensive physical infrastructure and expansive buyer network," Adair said. "With ACV, we are uniquely positioned to drive efficiency and productivity throughout the entire automotive ecosystem.
