Tata Trusts Challenge Chandrasekaran Reappointment as Chairman
Tata Trusts have challenged the validity of N. Chandrasekaran's reappointment as chairman of Tata Sons, asserting that the September 17, 2026 board resolution was not validly passed due to a violation of the company's Articles of Association. The Trusts, which hold approximately 66 percent of Tata Sons, stated that the reappointment failed to secure mandatory affirmative support from a majority of its nominated directors, rendering the decision void from the outset. The Tata Sons board voted 4-1 in favor of granting Chandrasekaran a fresh five-year term, with Trust-nominated director Noel Naval Tata casting the sole dissenting vote. According to Tata Trusts, the Articles of Association require that certain board decisions receive affirmative backing from a majority of directors nominated by the Trusts. With two such nominees on the board, both would need to support a resolution for this condition to be met. Since one voted against, the requirement was not fulfilled. Tata Trusts emphasized that the chairman's casting vote cannot be used to overcome this deficiency.
