Strategy Seeks Vote on Daily Preferred Dividends

Strategy is seeking shareholder approval to make every calendar day a dividend record date for four preferred stocks, while keeping their dividend rates and total regular payouts unchanged. The proposed changes cover STRC, STRF, STRK and STRD, and common shareholders are scheduled to vote at a virtual special meeting on October 28, 2026. Under the plan, dividends associated with each record date would generally be paid on the next business day, including when a record date falls on a weekend or holiday. The proposal changes the timing structure, not the stated rates or aggregate regular dividend amounts. It still requires shareholder approval and updated certificates for the preferred stocks to be filed with Delaware before it can take effect. Strategy’s proposed implementation schedule puts STRC first. If the amendments are approved and the required steps are completed, its first payment under the daily schedule is expected November 2, 2026. STRF, STRK and STRD are expected to follow, with first payments on the revised schedule anticipated January 4, 2027. These dates remain conditional on approval and filings.
