DOJ Seeks More Information on Fox-Roku $22 Billion Deal

The U.S. Department of Justice has requested additional information and documents from Fox Corp. and Roku as it continues its antitrust review of Fox’s proposed $22 billion acquisition of the streaming platform company. The request, known as a second request, was issued on Tuesday, September 8, 2026, and extends the waiting period under the Hart-Scott-Rodino Act. Both companies characterized the second request as a routine step in the review process and indicated they intend to cooperate fully with the agency. Under the Hart-Scott-Rodino Act, the waiting period will remain open for 30 days after both companies have substantially complied with the request, unless the DOJ terminates it earlier or the parties agree to an extension. Despite the extended review, Fox and Roku continue to expect the deal to close in the first half of 2027, pending regulatory and shareholder approvals. The transaction would combine Fox’s content portfolio, including Fox News, Fox Sports, and the ad-supported streaming service Tubi, with Roku’s connected-TV operating system, advertising technology, and its platform, which reaches over 100 million households.
