Coforge Chairman Resigns Amid Audit Concerns

Coforge Chairman O.P. Bhatt resigned from his position and the board of directors with immediate effect on September 8, 2026. The departure followed an internal audit that raised concerns regarding the handling and presentation of the company's board evaluation report. The audit identified that material information, including details about the chairman's own performance, had not been fully disclosed to the board when the report was presented. According to the company, the board communicated these concerns to Bhatt and sought an explanation. While Bhatt provided a response, the board was still in the process of evaluating it when he submitted his resignation. In his resignation letter, Bhatt stated that he had acted in good faith and believed that continuing on the board amidst a disagreement over his actions in the evaluation process would not be conducive to its effective functioning. He confirmed that there were no other material reasons for his departure. Coforge has appointed Vivek Sharma, a non-executive independent director, as the interim chairman. Sharma is expected to hold the position until January 31, 2027.
